Trust Statement: New Shares – February 2024

The Swans Trust can confirm today that a further 108,366 new shares have been issued at a total value of just under £2.5m following fresh investment into the club. As per the previous investment in November 2023, this has been made by Swansea Football LLC, the investment vehicle of the majority owners, which includes Chairman Andy Coleman, Jason Levien, Steve Kaplan, and Jake Silverstein.

The is the latest of a series of cash injections by the majority owners in addition to the total of £13.5m we announced that Swansea Football LLC had invested back in August and November. We have been advised that this latest equity injection is part of Andy Coleman’s investment into the club and we have asked the club to put out a release of their own to provide supporters with further clarity.

We welcome new money into the club, especially when it is in exchange for equity rather than through loans that would increase the debt load on the club.

We are being regularly updated on the club’s finances on a monthly basis and we have made recommendations for the club to provide further information to supporters on the importance of recognising where financial investments such as these fit within the club’s overall strategy.

A reminder for those interested in learning more about the club’s finances or football finance in general, the Trust held an interview with noted Football Finance Expert, Kieran Maguire, which discussed in detail the club’s 2021/22 financial accounts. You can view that HERE and we are looking to carry out a similar interview with Kieran after the club release its 2022/23 accounts later this spring.

Shareholding Implications

As Swansea Football LLC was again the only party to invest in this round, the shareholding (as a percentage) of all other parties will reduce, including that of the Trust. The full information of shareholders with a 10% or more holding is available on the club website HERE. The Trust’s shareholding after this latest investment stands at 10.14% including our permanently protected 5% shareholding in the club.

As expressed above and in our statements earlier in the season it is very likely that the club will continue to require investment beyond this capital injection for the remainder of this season, and therefore the shareholdings of those who do not take up the option to invest will dilute accordingly.

Fans Forum

We have also been in discussions with the club over the past few weeks about holding another Fans Forum for members and supporters to be able to put questions of their own directly to senior club representatives. We should be able to provide more details of this event in the coming days.
